MOODY'S ANNOUNCES PROSPECTIVE RATING ON SANWA FINANCE'S UNSECURED CONSUMER LOAN ABS
Tokyo, July 14, 2003 -- Moody's Investors Service has announced that, on June 27, 2003, it had assigned a (P)Aa2 prospective rating to JPY 11 billion Specified Notes (for Eligible Institutional Investors) issued by Sanwa Capital One Special Purpose Company. The Notes are backed by a pool of unsecured consumer loan receivables originated by Sanwa Finance Co., Ltd.
Moody's rating on the Notes addresses timely payment of interest and full repayment of principal by the legal final maturity date. The rating does not address repayment of principal on the scheduled maturity dates.
Moody's issues a prospective rating in advance of the final sale of the Notes. This rating, however, only represents Moody's preliminary credit opinions. Upon a conclusive review of the transaction and associated documentation, Moody's will endeavor to assign a definitive rating to the Notes. The definitive rating may differ from the prospective rating. The prospective rating is based on the information received as of June 26, 2003.

The Notes are backed by an unsecured consumer loan receivables pool originated by Sanwa Finance Co., Ltd. The prospective rating is based on the following factors:
(1) Credit quality and diversification of the underlying unsecured consumer loan receivables pool
(2) Strength of the transaction's legal structure
(3) Credit enhancement provided by the senior/subordination structure and dynamic reserve. The dynamic reserve is established based on the termination rate and delinquency rate
(4) Excess spread that is available for credit enhancement
(5) Cash reserves that provide liquidity for the transaction at the time of servicer replacement
(6) Seller's beneficial interest, which has incorporated the required floor amount, and which will address commingling risk at the time of servicer replacement
(7) Triggers that could cause an early amortization
(8) Interest rate swap agreement that will be entered into between the Specified Note Issuer and CIBC
(9) The experience of Sanwa Finance as servicer and the commitment of MCS as back-up servicer

Sanwa Finance Co., Ltd., headquartered in Shinjuku-ku, Tokyo, is a mid-tier consumer finance company specializing in small loans to individual borrowers. It was founded in 1972 and was set up as a corporation in 1975. According to The Japan Finance News, the company ranked 11th in terms of loan outstanding balances as of the end of March 2003. As of the end of December 2002, it had approximately JPY 143.2 billion in its loan balance and 1,095 employees. It also had 410 branches nationwide, including 295 unstaffed branches.
Moody's completed a review of Sanwa Finance's operations and considers the company fully capable of servicing the pool.
