MOODY'S DOWNGRADES SCOR'S IFSR TO Baa2 FROM Baa1; SUBORDINATED DEBT TO Ba2 FROM Ba1; SENIOR DEBT IS CONFIRMED AT Baa3

Outlook is negative

London, 12 March 2003 -- Moody's Investors Service announced today that it had downgraded SCOR's insurance financial strength rating ("IFSR") to Baa2 from Baa1 and subordinated debt to Ba2 from Ba1. The senior debt rating of Baa3 was confirmed. All ratings have a negative outlook. This concludes the review initiated on 8 November 2002. At that time, Moody's said that it had downgraded SCOR's ratings to their current levels and kept the ratings on review with direction uncertain pending clarity on the amount, timing and success of the prospective rights issue. In addition, Moody's cited concerns regarding the potential for additional adverse reserve deterioration, other signs of poor risk management and controls, and underwriting losses.

Moody's said today's downgrade of SCOR's IFSR and subordinated debt rating reflect Moody's opinion that SCOR faces significant execution challenges in the comprehensive implementation of its "Back on Track" Plan, including the strengthening of its risk management, internal controls, underwriting, and corporate governance. Moody's believes that this process will be multi-year. As such, Moody's regards 2003 as a transitional year for the company and one that is likely to be pivotal in its recovery.

SCOR's currently high financial leverage relative to its tangible equity was also a major factor in the downgrade of the IFSR and subordinated debt rating. The rating agency regards SCOR's current level of debt (€ 854 mn as of 30 September 2002, as per its French GAAP statements) as significant given its estimated capital base of € 1.4 bn, including the proceeds of the rights issue and minority interests. Of the total debt, SCOR had approximately $100mn in commercial paper and debt maturing in less than one year, as of 30 September 2002.

Moody's notes, however, that the maturity profile of SCOR's debt is generally long term; this is an important mitigant in the rating agency's opinion. SCOR does not have any large maturities until January 2005 and the bulk of its debt matures after 2007. Furthermore, approximately €250 mn of SCOR's debt is subordinated. (The company's OCEANE convertible issue is currently significantly "out of the money" and thus is regarded as senior debt). Nevertheless, in Moody's opinion, SCOR has fully utilised its debt capacity.

Moody's also noted that the company has a future liability in reference to the buyout of the minority shareholders of Irish Reinsurance Partners (IRP), a reinsurance vehicle established by SCOR in December 2001 with a capital of €300mn. SCOR currently owns 41.7% of IRP and plans to increase this to 47% in the near term. IRP is a consolidated subsidiary because it is controlled by SCOR. Under the terms of the agreement forming IRP, shares in IRP held by minority investors will be exchanged into shares of SCOR starting at the end of 2004 and no later than May 31, 2006. Moody's believes that because of IRP's recent establishment and focused business profile; it is likely to be largely immune to the recent profitability issues confronting other SCOR entities. Moody's also recognises that the buyout of IRP's minority interests in effect represents deferred equity for SCOR.

Moody's said the confirmation of the senior debt rating follows SCOR's recent €381mn rights issue, the announcement of its "Back on Track" Plan, coupled with recent steps taken to reduce the company's risk profile. In Moody's opinion, the proceeds of the rights issue should stabilise the company's capital position in the short term following its anticipated loss of €400mn for the year 2002. However, Moody's regards SCOR's "Back on Track" Plan as the cornerstone for the company's long-term viability.

Moody's expects that SCOR will return to profitability in 2003 and that management will implement the "Back on Track" Program as announced on 23 January 2003, as well as taking further steps to reduce the company's risk profile. Furthermore, Moody's anticipates that SCOR's level of debt will not increase during the current year and that management will address the company's leverage in short order. The negative outlook reflects that while Moody's recognises that SCOR has strengthened its reserves in line with the best estimate level of external actuaries, the rating agency does not rule out the possibility of further reserve strengthening being needed. Moody's added, however, that should these expectations not be met, SCOR's ratings would likely be downgraded.

Moody's views SCOR's recent successful rights issue, which demonstrated the commitment of its supportive shareholders, along with recent management changes, steps to improve corporate governance, and recovery plans as positive rating factors. In particular, Moody's regards favourably SCOR's decisions to sell Commercial Risk Partners (CRP), reduce its exposure to certain lines of business, notably reductions in US business, credit and surety, exit from volatile P&C lines, and restrict net premium growth by €350mn in 2003. These measures should contribute to reduce SCOR's risk profile, in Moody's opinion. Lastly, Moody's views SCOR's ranking as one of the ten largest P&C and life reinsurers with its historically good European franchise as credit strengths.

Moody's said that sustained profitability and reduced leverage could move SCOR's ratings higher over the medium-term.

SCOR Reinsurance Company (US)- insurance financial strength rating to Baa2 from Baa1

SCOR UK Company- insurance financial strength rating to Baa2 from Baa1

SCOR- Subordinated debt rating to Ba2 from Ba1.

The following rating has been confirmed and assigned a negative outlook:

SCOR- Senior debt rating of Baa3.

SCOR based in Paris, France had total shareholders' equity of €1.2 bn as of June 30, 2002 and gross written premiums of €2.5 bn for the six months ended June 30, 2002.
