New York, August 10, 2011 -- Moody's ABCP rating actions for the seven-day period ended August 8, 2011

THE RATINGS OF THE FOLLOWING ABCP PROGRAMS WERE AFFIRMED AT PRIME-1 (SF) DURING THE PERIOD AUGUST 2, 2011 THROUGH AUGUST 8, 2011:

CIBC'S SOUND TRUST AND NATIONAL BANK FINANCIAL'S FUSION TRUST CO-PURCHASE C$150 MILLION FLEET LEASING TRANSACTION

SOUND Trust ("SOUND") and Fusion Trust ("Fusion"), have joined to finance an auto fleet leasing securitization, with combined commitments of C$150 million. Each conduit has a pro rata share in the commitments. The transaction is a one-year revolving securitization established for a Canadian fleet-leasing company. The collateral is a pool of vehicle fleet leases and receivables. SOUND is a partially supported, multiseller Canadian ABCP program administered by Canadian Imperial Bank of Commerce ("CIBC," rated Aa2/Prime-1/B-). Fusion is a partially supported, multiseller ABCP conduit administered by National Bank Financial Inc., a subsidiary of National Bank of Canada ("NBC," rated Aa2/Prime-1/B-).

Transaction-specific credit enhancement is provided by a 10% letter of credit (subject to a floor of 4% of the highest conduit funding) and 1% minimum excess spread. This transaction is partially supported by liquidity facilities provided by CIBC (for SOUND) and National Bank of Canada (for Fusion). SOUND has a single program-level liquidity facility that is used to support its notes. Fusion has a series-level liquidity facility.

With this transaction, SOUND has C$1.36 billion in aggregate purchase commitments and C$669.1 million in outstanding Series 1998-1 Senior Short Term Notes.

With this transaction, Fusion has C$1.45 billion in purchase commitments, C$1.31 million in outstanding Notes, and C$30 million in series-level credit enhancement.

NATIXIS' VERSAILLES ADDS $100 MILLION REVOLVING FLOORPLAN FACILITY

Versailles Assets, LLC ("Versailles Assets"), a partially supported, multiseller ABCP conduit sponsored and administered by NATIXIS ("NATIXIS," rated Aa3/Prime-1/D+), New York Branch, has added a $100 million revolving floorplan facility to its portfolio. The facility is backed by floorplan receivables originated by an unrated company that primarily provides used vehicle inventory financing to independent non-franchised dealers.

The transaction benefits from transaction-specific credit enhancement in the form of overcollateralization and cash reserve which totals 17.25% and grows to19.25%. The transaction is partially supported by a liquidity facility provided by NATIXIS.

Versailles Assets will finance this note by issuing Prime-1 (sf)-rated ABCP to Versailles Commercial Paper, LLC. Versailles Commercial Paper, in turn, will issue Prime-1 (sf)-rated ABCP to investors in the capital market to purchase the Versailles Assets ABCP. The liquidity support is at the Versailles Assets level, and covers any timing mismatch, or liquidity risk, between the underlying notes and the ABCP issued to Versailles Commercial Paper. The program-level credit enhancement is at the Versailles Commercial Paper level.

With this transaction, Versailles' was required to increase its program-level credit enhancement by 10% of outstanding ABCP issued with its commitment. Versailles has $4.53 billion in purchase commitments, $3.12 billion in ABCP outstanding, and $288 million in program-level credit enhancement.

THE RATING OF THE FOLLOWING ABCP PROGRAM WAS CONFIRMED AT PRIME-1 (SF) DURING THE PERIOD AUGUST 2, 2011 THROUGH AUGUST 8, 2011:

STRAIGHT-A FUNDING, LLC'S PRIME-1 (SF) RATING CONFIRMED

Moody's has confirmed the Prime-1 (sf) rating of the Series-1 and Series-2 Student Loan Short-Term Notes (SLSTN) issued by Straight-A Funding, LLC, (Straight-A). This action follows the confirmation of the Aaa rating assigned to the US government on August 2, 2011.

THE RATINGS OF THE FOLLOWING ABCP PROGRAM WERE WITHDRAWN DURING THE PERIOD AUGUST 2, 2011 THROUGH AUGUST 8, 2011:

BELMONT FUNDING LLC AND EBBETS FUNDING PLC/EBBETS FUNDING LLC RATINGS WITHDRAWN

At the issuer's request, Moody's has withdrawn the Prime-1 (sf) ratings of the ABCP issued by Belmont Funding LLC ("Belmont") and Ebbets Funding PLC/Ebbets Funding LLC (together, "Ebbets"), both fully supported, multiseller ABCP programs sponsored by Hudson Castle Group Inc. and administered by Deutsche Bank Trust Company Americas (Aa3 rating on review for possible downgrade/Prime-1/C on review for possible downgrade). As of August 9, 2011, all outstanding ABCP had been repaid in full.

CLIPPER RECEIVABLES, LLC RATING WITHDRAWN

At the issuer's request, Moody's has withdrawn the Prime-1 (sf) rating of the ABCP issued by Clipper

Receivables LLC, a fully supported, multiseller ABCP program sponsored by State Street Bank and Trust Company (Aa2/Prime-1/B). As of August 1, 2011, there was no ABCP issued to third party investors, nor is such issuance currently contemplated.

The principal methodology used in rating and monitoring the above-referenced ABCP programs is described in "The Fundamentals of Asset-Backed Commercial Paper" (published in February 2003). Moody's monitors and analyzes ABCP programs on an ongoing basis. The rating actions apply to the CP issued by the ABCP programs and not the individual transaction in the programs' portfolio.
