Moody's assigns Baa3 to Barclays Center Project PILOT Revenue Refunding Bonds, Series 2016, outlook stable.

New York, August 12, 2016 -- Moody's Investors Service, ("Moody's") has assigned a Baa3 rating on approximately $482 million PILOT Revenue Refunding Bonds, Series 2016 (Barclays Center Project) issued by the Brooklyn Area Local Development Corporation, which serves as the conduit issuer. Concurrent with this action, Moody's also affirms the Baa3 rating on the remaining outstanding parity Series 2009 PILOT Bonds. The outlook is stable.

The bond proceeds will be used to advance refund certain maturities of the PILOT Revenue Bonds, Series 2009, and will be deposited into an escrow account until their call date in 2019. The transaction is expected to close in September 2016.

RATINGS RATIONALE

The Baa3 rating reflects the cash flow predictability supporting the debt that comes from contractually obligated income (COI) in the form of medium to long-term contracts for naming rights, sponsorships, premium seating/suites, minimum team rents, and concessions. The rating also reflects the security afforded by the PILOT bond structure, the strength of New York City as a media market, the non-relocation agreement with the Nets, the Owner's Operating Support Agreement, the large equity component of the financing structure and the strong liquidity.

The rating also recognizes the challenges presented by the level of demand risk and competition facing the Barclays Center (the Arena) particularly for concerts and other events, which can be variable from year to year and can be economically dependent. The addition of the New York Islanders (Islanders) under a 25-year license agreement, starting with the most recent season (2015-16), provides greater revenue certainty with the addition of 44 known hockey sporting dates to the calendar in any given year, which Moody's considers to be a credit positive.

Regarding the arrangements with the Islanders, we understand that the terms of a side letter among the parties allow either the Arena or the Islanders to opt out of the license agreement after the 2018-19 season if modifications to the terms of the agreement are not agreed to. In addition, the Islanders have an early termination clause after the 2017-18 season. While Moody's believes such a termination and subsequent relocation of the Islanders would put downward pressure on the Arena's financial profile and rating, we consider such an event to be unlikely at this time given the timing constraints to find an alternative venue, the Islanders history in the New York metropolitan area and their large loyal fan base.

As an entertainment venue that distributes media content, the Arena's location in the large, yet competitive, New York City market is a key credit strength. The large population of over 8 million people in New York City and over 19 million people in the NYC metropolitan area drives demand for games and events at the Arena and provides visibility to sponsors. In addition, the local televised games and events reach a wider audience compared to other local markets, which supports local business sponsorship interest as well.

We also believe that the presence of an Owner's Operating Support Agreement among Mikhail Prohkorov, the Owner, and the Arena provide another layer of credit support to bondholders. We view the decision by the Owner to acquire the remaining 20% interest in the Nets and the remaining 55% interest in the Arena demonstrates a high level of sponsor commitment. Following the closing of that transaction, which was approved by the National Basketball Association on December 15, 2015, the Owner now owns 100% of the Nets and the Arena, which we view as a credit positive as the interest of both organizations are completely aligned.

From a financial metrics perspective, we calculate that the debt service coverage ratio (DSCR) increased to 1.51 times for the FY 2015 from 1.29 times in FY 2014 owing largely to the addition of the Islanders, which boosted net revenues. Prospectively, with the completion of the refinancing, including the cash flow benefits from the annual debt service savings, coupled with the incremental revenues from the Islanders, Moody's believes that the Arena's DSCR will be in the 1.9 times range for the better part of the next decade. Longer-term, Moody's believes the Arena's financial performance and its ability to maintain a robust annual DSCR will depend heavily on the ability of the Arena to grow revenue on a sustained basis to offset a rising debt service schedule that occurs over the life of the transaction.

OUTLOOK

The stable outlook reflects our expectation of more stable financial performance with DSCRs being in the 1.9 times range for the next few years due to the anticipated debt service savings on the refunding as well the continuation of contractual revenues, bolstered by more predictable cash flows from two anchor tenants .

• If the financial state or performance of the Nets and Islanders were to negatively affect premium seating or sponsorship revenue

• Loss of more predictable cash flow, such as the loss of the Islanders as a tenant, resulting in materially weaker DSCR's

OBLIGOR PROFILE

Brooklyn Events Center, LLC (ArenaCo) is a special purpose entity created to manage the construction, operations and maintenance of the Barclays Center (the Arena). The Empire State Development Corporation (ESDC) owns the Arena and land, which it leases to the Brooklyn Arena Local Development Corporation (BALDCo), the conduit issuer of the PILOT bonds. BALDCo subleases the Arena to ArenaCo, and ArenaCo is obligated to make Payments in Lieu of Taxes (PILOTs) to the ultimate owner, the ESDC, which has agreed to remit the PILOT payments to the PILOT Trustee that directs the payments to bondholders via the PILOT Bond Trustee.

The Barclays Center (the Arena) is a venue for sports and entertainment events serving as the home court for the NBA's Brooklyn Nets and the home ice for the NHL's New York Islanders. The Arena opened in September 2012 and has a capacity of approximately 17,732 spectators for basketball games and 15,795 for hockey games.
