Moody's assigns (P)Baa1 rating to Huarong Finance 2017's proposed MTN program

Hong Kong, January 13, 2017 -- Moody's Investors Service has assigned a (P)Baa1 long-term senior unsecured program rating to Huarong Finance 2017 Co., Ltd's medium-term note (MTN) program.

Huarong Finance 2017, incorporated in the British Virgin Islands, is an indirect subsidiary of China Huarong Asset Management Co., Ltd. (Huarong AMC, A3 stable).

The rating outlook is stable.

RATINGS RATIONALE

The (P)Baa1 long-term senior unsecured MTN program rating reflects Huarong AMC's ability and very high willingness to support Huarong Finance 2017's obligations.

Huarong Finance 2017 is wholly owned by China Huarong International Holdings Limited (Huarong International, unrated), which is in turn wholly owned by Huarong AMC.

The securities to be issued under the MTN program will be guaranteed by Huarong International and supported by a keepwell deed and a deed of equity interest purchase, investment and liquidity support undertaking (the deeds) between Huarong Finance 2017, Huarong International, Huarong AMC and the MTN program trustee.

Moody's believes that a failure by Huarong AMC to support Huarong Finance 2017's securities would result in significant reputational risk and would negatively affect the former's ability to access the onshore and offshore bond and bank loan markets.

In addition, such a failure could damage the reputation of China's Ministry of Finance (MoF), the largest shareholder of Huarong AMC, and have wider repercussions in the offshore and onshore debt markets if a majority-owned entity by the MoF were allowed to default.

Huarong AMC's willingness to support the notes is reinforced by its undertakings in the deeds, according to which Huarong AMC is committed to:

(1) Directly or indirectly own and hold at least 50.1% of the issuer and the guarantor;

(2) Maintain the guarantor as its primary overseas subsidiary for investment holdings and as a fundraising platform;

(3) Ensure that the issuer and the guarantor are solvent; and

(4) Help the issuer or the guarantor meet its payment obligations in the event of a default.

The one-notch difference between Huarong AMC's long-term issuer rating and Huarong Finance 2017's program rating reflects uncertainties over: (1) the priority of claims for noteholders — relative to Huarong AMC's senior unsecured creditors — in the absence of a guarantee from Huarong AMC; and (2) the ability of the keepwell provider to obtain approval to transmit resources to the offshore platform, given China's capital account controls.

In Moody's view, while the deeds demonstrate Huarong AMC's willingness to support its overseas subsidiaries and the securities under the MTN program, they are different from an explicit guarantee in terms of the nature of judgment and procedures of enforcement. The final result of such a legal claim is unclear, given a lack of precedent litigation against Chinese corporations on such agreements.

What Could Change the Rating - Up/Down

An upgrade of Huarong AMC's issuer rating, or the provision of a direct guarantee by Huarong AMC, could trigger an upgrade in the program rating.

The program rating could be downgraded if: (1) Huarong AMC's issuer rating is downgraded; (2) Huarong AMC's ability and willingness to support its offshore subsidiaries weaken; or (3) there is a material adverse change in capital account regulations, which limits Huarong AMC's ability to provide timely cross-border support to meet the note payment obligations.

The MTN program rating does not apply automatically to individual notes issued under the program. Ratings on individual notes issued under the program will be subject to Moody's satisfactory review of the terms and conditions set forth in the final offering circular and the pricing supplements of the notes to be issued.

Moody's does not intend to assign ratings to individual notes issued under the program with features linked to the performance of another obligor (credit-linked notes).

In addition, Moody's does not intend to assign ratings to notes for which payment of principal or interest is variable and contractually dependent on the occurrence of a non-credit-linked event or the performance of an index (non-credit-linked notes). The only exception will be for notes whose principal and coupon payments are affected by standard sources of variation.
