Moody's changes outlook on ratings of all Belgian sub-sovereigns to stable from negative; ratings affirmed

Madrid, March 12, 2014 -- Moody's Investors Service has today changed to stable from negative the outlook on all Belgian sub-sovereign ratings. At the same time, the rating agency has affirmed these ratings. In addition, Moody's has assigned a local currency issuer rating of Aa2 to the Community of Flanders, which is in line with the entity's debt rating.

The change in outlook follows a similar outlook change on Belgium's Aa3 sovereign rating on 7 March 2014 and reflects the strong correlation between sub-sovereign and sovereign credit risk in Belgium given their strong macroeconomic, institutional and financial linkages. RATINGS RATIONALE

RATIONALE FOR THE OUTLOOK CHANGES

The change in outlook on Belgian sub-sovereign ratings follows the sovereign action and reflects the strong fiscal linkages between the federal government and sub-sovereign entities. This is reflected in the high percentage of federal transfers in their budgets.

In addition, Moody's believes that the country's gradual economic recovery will help these sub-sovereigns to record balanced budget positions in 2014, as agreed with the federal government.

RATIONALE FOR THE RATING AFFIRMATIONS

-- ENTITIES RATED ABOVE THE SOVEREIGN LEVEL: COMMUNITY OF FLANDERS & AQUAFIN

Moody's decision to affirm the Community of Flanders's Aa2 debt rating and assign a Aa2 issuer rating reflects (1) the entity's very strong fiscal performance in recent years, which has translated into budget surpluses (in ESA terms) in 2011, 2012 and 2013; (2) the rating agency's expectation that the Community of Flanders will continue to post balanced budgets over the next few years; and (3) the rapid reduction in the community's debt-to-revenue ratio to approximately 16% in 2013 from 25% in 2012. The latter resulted from a EUR1.75 billion payment in 2013 from KBC Bank (A3 stable; D+ BFSR stable /baa3) to the Community of Flanders (following the bank's recapitalisation by both the community and the federal government in 2009) that was applied to debt reduction.

Additionally, Moody's believes that the Belgian Constitution protects the Community of Flanders from federal decisions that could potentially hamper its financial position (such as sharp cuts in transfers), which allows it to maintain its rating one notch above that of the sovereign.

Furthermore, the rating agency believes that the Community of Flanders's manageable borrowing needs over the next five years (with yearly direct debt redemptions below 5% of its budgeted 2014 revenue) would limit the potential impact of difficult market conditions on its financial performance.

Moody's decision to change the outlook to stable from negative on the Aa2/P-1 rating of Aquafin NV and its affirmation of this rating reflect the entity's strong links with its sponsoring government, the Community of Flanders.

-- ENTITIES RATED AT OR BELOW THE SOVEREIGN LEVEL: COMMUNAUTE FRANCAISE DE BELGIQUE, WALLOON REGION, SOCIETE PUBLIQUE DE GESTION DE L'EAU

The affirmation of the ratings of the Communaute Francaise de Belgique (CFB) and the Walloon Region is driven by their significant, yet manageable budgetary deficits, reflecting their commitment to complying with medium-term financial targets set by the National Council of Finances. Moreover, Moody's believes that the additional fiscal-consolidation measures that these two entities adopted late last year will help them to further reduce their deficits in 2014-15.

The CFB's higher rating than that of the Walloon Region reflects its more moderate debt ratio and the stronger correlation of its revenue with that of the federal government. The Walloon Region's rating reflects its good fiscal performance, but a relatively weak local economy that limits its tax base, as well as high direct and guaranteed debt.

The affirmation of Societe Publique de Gestion de l'Eau at A1 /P-1 reflects its strong links with its sponsoring government, the Walloon Region.

WHAT COULD CHANGE THE RATINGS UP/DOWN

Upward pressure on the ratings could arise from (1) an upgrade of the sovereign rating; and (2) a significant improvement in sub-sovereigns' financial trajectories that would lead to a substantial easing of their debt ratios over time.

Conversely, downward pressure on the ratings would arise from a deterioration of the macroeconomic environment. In addition, any delays in implementing fiscal-consolidation measures that would lead to a further increase in its debt metrics would trigger downward pressure on their ratings.

RATINGS AFFECTED

The following ratings are affected by today's action:

-- REGIONAL GOVERNMENTS

- Community of Flanders: long-term debt ratings affirmed at Aa2 and (P)Aa2; outlook changed to stable from negative; short-term rating affirmed at P-1; local currency issuer rating assigned at Aa2.

- Communaute Francaise de Belgique (Federation Wallonie Bruxelles): long-term issuer and debt ratings affirmed at Aa3 and (P)Aa3, respectively; outlook changed to stable from negative. Short-term issuer and debt ratings affirmed at P-1 and (P)P-1, respectively.

- Walloon Region: long-term debt ratings affirmed at A1 and (P)A1; outlook changed to stable from negative; short-term rating affirmed at (P)P-1.

-- GOVERNMENT-RELATED ISSUERS

- Aquafin NV: long-term issuer rating affirmed at Aa2; outlook changed to stable from negative; short-term rating affirmed at P-1

- Societe Publique de Gestion de l'Eau SA: long-term issuer rating affirmed at A1; outlook changed to stable from negative; short-term rating affirmed at P-1

The sovereign action required the publication of this credit rating action on a date that deviates from the previously scheduled release date in the sovereign release calendar, published on www.moodys.com.

Specific economic indicators as required by EU regulation are not applicable for these entities.

On 6 March 2014, a rating committee was called to discuss the Belgian sub-sovereign ratings. The main points raised during the discussion were: The systemic risk in which the issuers operate has materially decreased.

The principal methodology used in rating Belgium RLGs was Regional and Local Governments published in January 2013. The principal methodology used in rating Belgium GRIs was Government-Related Issuers: Methodology Update published in July 2010.
