Moody's changes outlook to positive on Miami-Dade (County of) FL Port Facility's Baa1 rated seaport revenue bonds

Approximately $569 million of seaport revenue bonds

New York, March 29, 2018 -- Moody's Investors Service has affirmed the Baa1 rating on Miami-Dade (County of) FL Port Facility's seaport revenue bonds. The rating outlook has been changed to positive from stable.

The port had outstanding seaport revenue bonds of approximately $569 million as of September 30, 2017.

RATINGS RATIONALE

The positive outlook is driven by the port's strengthening liquidity and financial profile, backed by strong revenue growth from its position as the largest cruise terminal worldwide. The port has demonstrated sustained improvements to its liquidity profile (413 days cash on hand in 2016, around 460 days cash on hand expected in 2017) and modestly declining leverage (direct debt to operating revenue 4.3x expected in 2017). The port has benefited from a combination of robust revenue growth supported by record cruise passengers and a thriving local economy supporting its cargo business, with high EBITDA margins of around 50% since 2014 and a period of lower capital expenditures and associated incremental debt service. The port's 5-year $493 million capital plan is manageable but will mostly rely on debt financing and the use of liquidity reserves. An upgrade would be contingent on the port's ability to manage the need for future capital expenditures and related debt financings while maintaining an adequate liquidity and leverage profile. We also expect future investments will be underpinned by high visibility on revenue growth expectations.

The port's Baa1 revenue bond rating incorporates its diversity across cargo and cruise operations. It enjoys a strong competitive position as the largest cruise port in the world, as measured by annual passenger volumes, and is among the largest cargo ports in the State of Florida. Around 70- 80% of future expected operating revenue over the next few years is covered by minimum annual revenue guarantee contracts, which provide substantial revenue and cash flow visibility and allow for higher leverage relative to peers with a lower amount of contracted revenues.

The port generates strong EBITDA margins of around 50% of operating revenue. This roughly matches its annual debt service obligation based on actual debt service paid for both direct and indirect debt, which is also around 50% of operating revenue.

We expect that senior leverage will not materially increase above current levels of 4.5x direct debt to operating revenue going forward and that the port will maintain an adequate liquidity profile with days cash on hand at least above 200 days, assuming that incremental debt service will be supported by additional revenue.

Customer concentration is high with the top three customer representing around 51% of 2016 revenue, making the port susceptible to the loss of a single major customer.

RATING OUTLOOK

The positive outlook reflects our expectation that the port will achieve a direct senior debt service coverage (DSCR) (GO and revenue debt) in the range of 1.8-2.0x going forward and total direct and indirect DSCR of around 1.0x-1.1x based on actual debt service paid. We also expect that senior leverage will not materially increase above current levels of 4.5x direct debt to operating revenue going forward and that the port will maintain an adequate liquidity profile with days cash on hand at least above 200 days.

FACTORS THAT COULD LEAD TO AN UPGRADE

- Improved financial performance supporting a return to senior DSCR (Moody's net revenue calculation) of around 2.0x

- Total DSCR (direct and indirect debt) comfortably above 1.0x

- Sustained improvements in the port's liquidity profile

- Visibility that leverage will not increase further

FACTORS THAT COULD LEAD TO A DOWNGRADE

- Direct senior DSCR below 1.25x

- Total direct and indirect DSCR (including debt issued and backed by the county) below 1.0x

- Weakening competitive position resulting in lower than expected operating revenue or loss of minimum annual revenue guarantee contracts

- Weakening liquidity profile with days cash on hand falling significantly below 150 days cash on hand for a sustained period of time

LEGAL SECURITY

The port's outstanding debt (Moody's direct debt $646.8 million, direct and indirect debt around $1.1 billion as of September 30, 2017) consists of a combination of seaport revenue bonds, seaport GO bonds, Sunshine State Loans, Capital Asset Obligation Acquisition bonds and commercial paper notes. In our debt to operating revenue calculation we only include the direct debt, or the outstanding senior seaport revenue bonds and general obligation (GO) bonds. Our total DSCR calculation, however, includes the total debt service obligation for both the direct and indirect debt.

The revenue bonds are payable solely from the revenue of the seaport and are not general obligations of the county. The GO bonds are payable primarily from the revenue of the seaport, and, to the extent that the revenue of the seaport is insufficient, are payable from ad valorem taxes levied on property in Miami-Dade County without limit as to rate or amount.

Operating income, defined as revenue less operating expenses before depreciation must be at least 125 percent of the maximum principal and interest requirements on all revenue bonds (213% in fiscal year 2016) for any future fiscal year plus 110 percent of the maximum principal and interest requirements on general obligation bonds (677% in fiscal year 2016) for any future fiscal year. The port must have debt service reserves at least equal to 100 percent of the amount required to pay maturing principal and interest semiannually.

Sunshine state loans, capital asset special obligation acquisition bonds and outstanding commercial paper notes are not legal debt of the port, but the port has historically reimbursed the county for debt service paid from available seaport revenues. Sunshine state loans, capital asset special obligation acquisition bonds and commercial paper notes are subordinated to the seaport revenue bonds and the seaport GO bonds.

PROFILE

Miami is a landlord port located in Biscayne Bay, on an island a half-mile from the City of Miami. The port is the largest multi-day homeport for cruise vessels in the world, currently with service from 22 cruise lines (berthing 55 ships). The port handled a record 5.31 million passengers in fiscal year 2017. The port also has significant cargo operations and handled approximately 1.05 million TEUs in 2017. Total operating revenue (excluding one-time cash inflow from Bimini of $24.7 million) in fiscal year 2017 is estimated to be around $150 million (+4.2% compared to 2016).
