Moody's downgrades Bradford & Bingley to A2/P-1/C from A1/P-1/C+

Outlook is negative

London, 19 March 2008 -- Moody's Investors Service has today downgraded the ratings of Bradford & Bingley plc (Bradford & Bingley). The bank financial strength rating (BFSR) was downgraded to C, from C+, and the long-term bank deposit and senior debt ratings were downgraded to A2 from A1. The C BFSR translates to a baseline credit assessment of A3. The P-1 short-term debt and deposit rating was affirmed. The outlook on the long-term debt and deposit ratings and the bank financial strength is negative.

Moody's said that the downgrade reflects the deterioration in the bank's asset quality in 2007, the writedowns the bank has taken on its portfolio of structured investments and the impact that this has had on capital, as well as the slower growth that is expected as a result of the ongoing issues in the wholesale funding markets.

In 2007, as the five increases in UK base rate in 2006 and 2007 fed through, Bradford & Bingley's ratio of impaired loans as a percentage of gross loans deteriorated to 2.04%, from 1.52% at end-2006. As Bradford & Bingley has a higher concentration on the buy-to-let (57%) and self-certified (21%) segments of the UK mortgage market, Moody's would expect impaired loans to be higher than at institutions targeting the prime owner-occupier segment. However the significant rise in 2007 was higher than expected. In addition Moody's noted that following the rise in impaired loans and the reduction in capital as a result of writedowns on its structured investments, impaired loans accounted for 68% of shareholders equity at the end-2007, up from 39% at end-2006. If this ratio were to worsen further, either as a result of an increase in impaired loans or as a result of further writedowns, it would be likely to have further rating implications for Bradford & Bingley.

Moody's also noted that following the sale of the bank's Housing Association portfolio and the bulk of its commercial property portfolio in 2007, buy-to-let and self-certification lending now accounts for just under 80% of the bank's mortgage book (including securitisations), compared to 49% at the end of 2003. The rating agency recognised that much specialised lending has high credit quality, nonetheless, this growing concentration on specialist market segments that have not been tested through a significant downturn increases the long-term credit risk in the book.

The rating agency also highlighted that although Bradford & Bingley has successfully funded itself through the difficult market conditions, raising GBP2.5 billion of private placement RMBS and covered bonds in the latter half of 2007 and raising further retail deposits, at the end of 2007 deposit funding had fallen to 46.6% of total funding from 49.5% at end-2006. Securitisation and covered bonds now account for just over 30% of the bank's funding. However Moody's noted that the bank has seen strong deposit inflows so far in 2008 with an additional GBP1.3 billion raised by end-Feb. The bank is also in a stronger liquidity position following the sale of the loan portfolios in late 2007 and the establishment of a number of secured term funding facilities collateralised on Bradford & Bingley mortgages, however Moody's remains concerned about the ability of the bank to raise further funding if current market conditions persist for a longer period of time. Moreover, Moody's expects the bank's cost of funds to increase, and this could be exacerbated by the increasing competition for retail funds in the UK.

The negative outlook reflects Moody's view that the bank may need to take further writedowns on its portfolio of structured investments and the negative impact that this may have on its capital, the difficult economic environment in the UK that may lead to a further deterioration in asset quality and the likely effect on profitability of holding extra liquidity and the probable increase in the cost of funds. If the ratings were to be downgraded further then it is likely the short-term rating would move to Prime-2.

Moody's believes that the probability of systemic support for Bradford & Bingley plc in the event of need is low but not insignificant. This results in a one-notch lift in the deposit ratings to A2/Prime-1 from the A3 baseline credit assessment.
