Moody's reviews ABN AMRO long-term ratings for possible downgrade

New York, December 17, 2008 -- Moody's Investors Service today placed on review for possible downgrade the long-term ratings of ABN AMRO Holding NV (senior debt at (P)Aa3) and several of its subsidiaries, including its principal banking subsidiary ABN AMRO Bank NV (deposits and senior debt at Aa2, bank financial strength rating at B-). At the same time, the Prime-1 short-term ratings of ABN AMRO Bank NV and ABN AMRO North America Finance Inc. were affirmed.

The rating action reflects Moody's view as to the bank's likely future credit strength following the completion of its pending divestitures and asset sales.

Moody's noted that in October 2007 ABN AMRO was acquired by a consortium of banks consisting of Royal Bank of Scotland Group plc (RBS), Banco Santander SA, and Fortis SA. The bank is now engaged in a substantial program of divestitures as its various businesses are sold off to the different consortium members. A number of businesses have already been sold, including Asset Management (to Fortis), Banca Antonveneta (to Banca Monte dei Paschi di Siena), Banco ABN AMRO Real (to Santander), and certain structured asset portfolios as well as the redirection of certain wholesale client activities (to RBS). During 2009 the bank is also expected to transfer its Dutch banking business and private client businesses to the Dutch government (which has succeeded to the ownership stake previously held by Fortis.

The rating agency added that over the past 18 months ABN AMRO has suffered from asset impairments and earnings erosion similar to those experienced by many other banks active in the international capital markets. Offsetting this to some extent has been the steady earnings contribution from the bank's Dutch banking business, as well as earnings from its Private Client and Asia businesses. In addition, ABN AMRO has benefited from a substantial build-up in its capital and liquidity position, as the bank has realized gains on its ongoing divestitures asset sales. However, as the divestitures are completed, it is anticipated that those gains will ultimately be dividended back to the consortium members.

The rating agency now believes that once the divestitures are complete, the remaining bank, which will become a wholly-owned subsidiary of RBS, is likely to be a more narrowly focused bank specializing in wholesale banking and global transaction services with less earnings diversification and potentially greater earnings volatility than at present. While the exact financial structure of the bank remains uncertain, Moody's believes that there is a significant likelihood that the bank's narrower franchise and potentially more volatile earnings profile could result in a lower Bank Financial Strength Rating than the current B-. In addition, Moody's believes that once the divestitures are completely, the bank is likely to be less systemically important to the Dutch financial system and thus its ratings may benefit from a lower level of systemic support than they do today. However, while systemic support may be lower, Moody's expects that this is likely to be offset to a large extent by a high level of parental support from RBS, limiting the downward pressure on the bank's debt and deposit ratings.

Moody's said that its ratings review will focus on ABN AMRO's anticipated franchise, earnings, capital and liquidity profile following completion of the pending divestitures and asset sales. The review will also assess the strength of parental support from RBS and the likelihood of systemic support from the Netherlands.

The last rating action was on October 17, 2007 when the ratings of ABN AMRO Bank and affiliates were affirmed.
