Moody's upgrades Prologis' rating to A3; stable outlook

New York, October 26, 2016 -- Moody's Investors Service, ("Moody's") today upgraded Prologis, L.P.'s senior unsecured rating to A3, from Baa1 and Prologis, Inc.'s preferred stock rating to Baa1, from Baa2. Concurrently, the rating outlook was revised to stable from positive.

The following ratings were upgraded:

The ratings upgrade reflects the REIT's substantial improvement in its operational metrics with solid same-store NOI growth in the 5.5% to 7% range for the last eight quarters, while maintaining strong portfolio occupancy of 96.6% as of September 30, 2016, with tenant retention at 80.5% for the same period. The REIT also has experienced strong positive rental growth for the last eight quarters, with rent change of approximately 16% at 3Q16 on a trailing four quarters, which is expected to continue for 2017 and beyond. In addition, Prologis has realized strong same store cash NOI growth of 6.6% at 3Q16, which is also expected to continue for 2017 and beyond. These strong operating metrics have enhanced the REIT's key credit metrics, on a consolidated basis without development gains. Prologis' fixed charge coverage was solid at 4.5x at 3Q16 and is expected to improve further in the next 12 to 18 months. Similarly, the REIT's net debt to EBITDA improved to 6.2x at 3Q16 from above 7x at the end of 2015 and is expected to improve further in 2017. Prologis has strong liquidity supported by the REIT's cash on hand ($375 million as of 9/30/2016), robust cash flows, as well as committed unsecured bank credit lines that consist of a $3 billion global revolver expiring in 2020, and a YEN facility of 45 billion (approximately US$430 million expiring in 2018). The credit lines were largely undrawn with no outstandings and $39 million in letters of credit at September 30, 2016. Prologis refinanced most its near-term unsecured debt maturities and there are no unsecured bonds coming due until 2018. The REIT's operations continue to benefit from strong industrial real estate fundamentals.

RATINGS RATIONALE

The A3 rating reflects Prologis' position as the world's largest owner, manager and developer of industrial facilities, strong franchise, large scale, ample liquidity, and extensive geographic reach across the Americas, Europe and Asia. Prologis has $68 billion of assets owned, managed and under development as of September 30, 2016. Prologis has approximately $28 billion of directly owned assets and approximately $40 billion of assets under management on behalf of third party funds. The REIT possesses a global leadership position in the warehouse distribution business, coupled with a strong management team and demonstrated access to committed equity capital at its funds and access to all capital markets.

The rating is further supported by the REIT's large pool of high quality unencumbered assets, which should continue to improve in size, quality and geographic diversity as the REIT continues to execute on its on balance sheet development program. As of 3Q16 Prologis's consolidated unencumbered assets were approximately $21.5 billion. The REITs' credit profile benefits from strong tenant relationships underpinning a growing global franchise and the diversification gains derived from its established fund management platform and international strategy. Prologis' has a highly diversified portfolio with its largest tenant representing 3.1% of net effective rent and no other tenant represent more than 1.6%. The REIT has 5,200 customers and 85% of the top 20 customers are investment grade. However, these positive ratings factors are counterbalanced by the REIT's sizeable development pipeline and land bank as well as risks associated with its material share of joint venture arrangements to support its growth strategy.

The stable rating outlook reflects Moody's expectation that the REIT will continue to generate meaningful cash flows, maintain strong liquidity and proactively manage debt maturities on balance sheet and at the funds level. The stable outlook also assumes Prologis' key credit leverage will continue to improve, specifically net debt to EBITDA, while focusing on maintaining occupancies in its core portfolio, growing rental revenue, leasing up its development pipeline and monetizing its land bank.

Moody's stated that Prologis' ratings could be upgraded if the REIT continues its strong operating performance while continuing to improve its credit metrics, on consolidated basis, so that net debt to EBITDA is closer to 4x on a consistent basis and fixed charge is sustained above 4.5x. A ratings upgrade would also require that the REIT pursues balanced growth strategy that would limit its JV/Fund revenues over total revenues and development over total gross assets in the mid to low single digits. Although unlikely in the near term, a downgrade in Prologis ratings would be precipitated by deterioration in credit metrics, including net debt/EBITDA greater than 6.0x, a decline in fixed charge coverage to below 3.5x; coupled with significant increase in development exposure over 10% of gross assets and JV/Fund revenues as a percent of total revenues rising above the low to mid-teens. In addition, broad deterioration in the macroeconomic or specifically industrial environment would also be viewed negatively.

Moody's last rating action with respect to Prologis was on March 07, 2016 when the rating agency, affirmed the Baa1 senior unsecured rating and Baa2 preferred stock ratings and revised the rating outlook to positive from stable.
